Welcome to BlackPearl Events. These Terms of Service ("Terms") govern your use of our event management and ticketing platform. By accessing or using BlackPearl Events, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our platform.

2. Description of Service

BlackPearl Events is a comprehensive event management platform that enables:

• Event organizers to create, manage, and promote events
• Attendees to purchase tickets and access event information
• Secure payment processing through integrated payment gateways
• QR code-based check-in systems
• Event analytics and reporting

3. User Accounts and Registration

3.1 Account Creation

To use certain features of our platform, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

3.3 Guest Accounts

Guest accounts may be created automatically for ticket purchases. These accounts are subject to the same terms as registered accounts.

4. Event Organizer Responsibilities

4.1 Event Information

Event organizers must provide accurate and complete information about their events, including but not limited to event dates, times, locations, ticket prices, and terms and conditions.

4.2 Compliance with Laws

Event organizers are responsible for ensuring their events comply with all applicable local, state, and federal laws, regulations, and ordinances.

4.3 Ticket Management

Organizers must honor all valid tickets and provide access to ticketed events as advertised. Organizers are responsible for managing ticket limits and preventing overselling.

4.4 Refunds and Cancellations

Organizers determine their own refund and cancellation policies, which must be clearly communicated to attendees.

5. Ticket Purchases and Payments

5.1 Payment Processing

All payments are processed securely through our integrated payment gateway (Paystack). By making a purchase, you authorize the payment processor to charge your selected payment method.

5.2 Pricing and Fees

Ticket prices are set by event organizers and displayed inclusive of applicable taxes and fees. BlackPearl Events may charge platform fees for certain services.

5.3 Payment Confirmation

Payment confirmation does not guarantee event access. Access is subject to the event organizer's policies and ticket validity.

5.4 Refunds

Refund eligibility is determined by the event organizer's refund policy. BlackPearl Events facilitates refunds as authorized by organizers but is not responsible for refund decisions.

6. User Conduct and Prohibited Activities

You agree not to:

• Use the platform for any illegal or unauthorized purpose
• Violate any applicable laws or regulations
• Infringe on the rights of others
• Upload or distribute harmful, offensive, or inappropriate content
• Attempt to gain unauthorized access to our systems
• Use automated tools to access the platform without permission
• Interfere with the proper functioning of the platform
• Engage in fraudulent activities

7. Intellectual Property

7.1 Platform Content

All content on BlackPearl Events, including but not limited to text, graphics, logos, and software, is owned by BlackPearl Events or its licensors and is protected by intellectual property laws.

7.2 User Content

By uploading content to our platform, you grant BlackPearl Events a non-exclusive, royalty-free license to use, display, and distribute such content in connection with the platform.

7.3 Event Materials

Event organizers retain ownership of their event materials but grant BlackPearl Events permission to display and promote their events on the platform.

8. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of BlackPearl Events, to understand our practices regarding the collection and use of your personal information.

9. Disclaimers and Limitation of Liability

9.1 Service Availability

BlackPearl Events strives to provide reliable service but does not guarantee uninterrupted access to the platform. We are not liable for any damages arising from service interruptions.

9.2 Event Content

BlackPearl Events does not endorse or guarantee the accuracy of event information provided by organizers. Attendees attend events at their own risk.

9.3 Limitation of Liability

To the maximum extent permitted by law, BlackPearl Events shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform.

10. Indemnification

You agree to indemnify and hold BlackPearl Events harmless from any claims, damages, losses, or expenses arising from your use of the platform or violation of these Terms.

11. Termination

We reserve the right to terminate or suspend your account and access to the platform at our discretion, with or without cause, and with or without notice.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of Nigeria. Any disputes arising from these Terms or your use of the platform shall be resolved through binding arbitration in accordance with Nigerian law.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the platform constitutes acceptance of the modified Terms.
